(“AMG”, EURONEXT AMSTERDAM: “AMG”) is pleased to announce the signing of a letter of intent to repurchase a 40% ownership interest in Graphit Kropfmühl GmbH ("GK") currently owned by Alterna Capital Partners ("Alterna"). The purchase price can be paid in cash at the end of a three-year period, or in the form of AMG shares at any point within the three years at AMG's discretion. To the extent that AMG
elects to pay any portion of the purchase price in the form of AMG shares, these shares would be subject to a holding period of 6-18 months depending on when AMG elects to transfer or issue the shares to Alterna. Alterna has committed to vote any such shares in line with the recommendations of AMG's Management and Supervisory Boards. At the end of the holding period, Alterna has given AMG the right of first refusal to purchase such shares.This press release contains inside information within the meaning of Article 7(1) of the EU Market Abuse Regulation.
